GENERAL TERMS OF SALE<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
  1. The present General Terms of Sale shall apply to all sales, regardless of how the order was placed.<\/li>
  2. Every order received must be the object of an acknowledgment of receipt from our company.<\/li>
  3. No variations to any existing model will be allowed.<\/li>
  4. Any remaining unhewn knots and small cracks, even after finishing, are characteristic of the natural quality of\u00a0wood.<\/li>
  5. We reserve the right to modify any prices and models. Our pricelists and catalogues replace and annul all previous\u00a0ones. Models which are not included in the lists or catalogues, are no longer produced. We reserve the right to\u00a0modify any forms, dimensions and design in order to guarantee the quality of our products.<\/li>
  6. Any stated delivery time shall be merely informative, not binding. The buyer expressly waives every refusal of\u00a0goods, as well as any claim for damages for any delay in delivery.<\/li>
  7. Goods, even when sent free of charge, will travel at buyer\u2019s risk.<\/li>
  8. We reserve the right to charge for all goods delivered, even if it concerns only a partial delivery.<\/li>
  9. WARRANTY AND LIABILITY: Any complaint will be considered only if sent within 8 days after receipt of the\u00a0goods.\u00a0Complaints shall not suspend payment commitment. Seller\u2019s liability shall by no means be extended any further than\u00a0the commitment to repair or replace at his own risk any faulty pieces, which have been sent free of charge to his\u00a0plant.<\/li>
  10. Deliveries may no longer be executed if previous deliveries have remained unpaid until after the due date.<\/li>
  11. Terms of payment: net cash on delivery. All collection charges are at the buyer\u2019s expense. Invoices are payable\u00a0in Marbella within the terms as set out in the invoice. Non-observance of a due date will allow us to make all invoices\u00a0collectable at once. Failing payment of the invoice by its due date, interest will, as of right, and without prior official\u00a0notice, be due by the debtor at one and a half percent per month commenced. Furthermore, we reserve the right to\u00a0break off the whole sale, as of right, in case of non-payment of any partial delivery. In case of non-payment on the\u00a0due date as a result of negligence or ill will, the due amount will, as of right, be increased by 20%, subject to any\u00a0charges, as a conventional penalty clause, with no formal notice required (art. 1147 and 1132 Civil Code). Moreover,\u00a0the law of 2 August 2002 implemented to counteract delays in payment in business transactions, shall fully apply to\u00a0any unpaid invoice, in particular with regard to the term of payment (if a departure from the general regulation of cash\u00a0payment was agreed upon), interest on arrears (reference interest rate increased by 7 percentage points and\u00a0rounded up to the higher half percentage point) and indemnity for collection charges.<\/li>
  12. The acceptance by the buyer of a security or his handing over, as a payment, of a security or a check to third\u00a0parties, does not entail any novation. If several bills of exchange have been accepted for payment of a debt, nonpayment\u00a0one bill on its due date shall entail the expiration of the term for all bills and the entire debt will be\u00a0claimable on call, giving us the right to cease all further deliveries.<\/li>
  13. All goods are sold with reservation of title, until full payment of the invoice. As such, the buyer acknowledges that\u00a0the goods remain the full property of Royal Botania until full payment of the invoice. From the day of delivery, the\u00a0buyer is responsible for the good condition of the goods. The sale shall be broken off, as of right, in case of nonpayment\u00a0on the due date. Goods have to be returned within 48 hours and any amounts paid in advance will be\u00a0forfeited as indemnity.<\/li>
  14. Our agents and representatives are not authorised to collect our invoices, except with our express consent.\u00a0Payment in their hands shall not exonerate the customer. Any promises or pledges made by the latter, are not\u00a0binding on our company, except when confirmed by us.<\/li>
  15. All contracts are concluded on the aforementioned terms, any terms of purchase of our customers will not be\u00a0acknowledged.<\/li>
  16. Our written consent is required for any advertising with our models in magazines, dailies and weeklies, etc.<\/li>
  17. Any disputes or contests, for whatever reason, shall be governed solely by the court of Marbella.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

    CONDITIONS G\u00c9N\u00c9RALES DE VENTE<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

    1. Les pr\u00e9sentes Conditions g\u00e9n\u00e9rales de vente s\u2019appliquent \u00e0 toutes les ventes, quel que soit le type de commande.<\/li>
    2. Chaque commande doit faire l\u2019objet d\u2019un accus\u00e9 de r\u00e9ception de la part de notre soci\u00e9t\u00e9.<\/li>
    3. Aucune modification \u00e0 un mod\u00e8le existant ne sera autoris\u00e9e.<\/li>
    4. Les n?uds ou petites fissures restants, m\u00eame apr\u00e8s finition, sont caract\u00e9ristiques de la qualit\u00e9 naturelle bois.<\/li>
    5. Nous nous r\u00e9servons le droit de modifier les prix et les mod\u00e8les. Nos listes de prix et catalogues remplacent et annulent les pr\u00e9c\u00e9dents.\u00a0Les mod\u00e8les qui ne sont pas repris dans les listes ou dans les catalogues, ne sont plus produits. Nous nous r\u00e9servons le droit de modifier les formes, les dimensions\u00a0et le design en vue de garantir la qualit\u00e9 de nos produits.<\/li>
    6. Les d\u00e9lais de livraison ne sont fix\u00e9s qu\u2019\u00e0 titre purement indicatif, ils ne sont en aucun cas contraignants. L\u2019acheteur renonce express\u00e9ment au droit de refuser les marchandises, ainsi qu\u2019\u00e0 toute r\u00e9clamation de dommages et int\u00e9r\u00eats pour tout retard dans la livraison.<\/li>
    7. Les marchandises, m\u00eame lorsqu\u2019elles sont exp\u00e9di\u00e9es sans frais, voyagent aux risques de l\u2019acheteur.<\/li>
    8. Nous nous r\u00e9servons le droit de facturer toutes les marchandises exp\u00e9di\u00e9es, m\u00eame s\u2019il ne s\u2019agit que d\u2019une livraison partielle.<\/li>
    9. GARANTIE ET RESPONSABILIT\u00c9: Les r\u00e9clamations ne seront prises en compte que si elles sont adress\u00e9es dans les 8 jours qui suivent la r\u00e9ception des\u00a0marchandises.
      Les r\u00e9clamations n\u2019entra\u00eenent pas la suspension de l\u2019obligation de paiement. La responsabilit\u00e9 du vendeur ne sera en aucun cas \u00e9tendue au-del\u00e0\u00a0de l\u2019obligation de r\u00e9parer ou remplacer \u00e0 ses propres risques les pi\u00e8ces d\u00e9fectueuses, qui ont \u00e9t\u00e9 exp\u00e9di\u00e9es sans frais \u00e0 son usine.<\/li>
    10. Les livraisons ne pourront plus \u00eatre ex\u00e9cut\u00e9es si des livraisons ant\u00e9rieures sont rest\u00e9es impay\u00e9es au-del\u00e0 de la date d\u2019\u00e9ch\u00e9ance.<\/li>
    11. Conditions de paiement : au comptant \u00e0 la livraison. Tous les frais de recouvrement sont \u00e0 charge de l\u2019acheteur. Les factures sont payables\u00a0\u00e0 Marbella aux conditions de paiement stipul\u00e9es sur la facture. Le non-respect de la date d\u2019\u00e9ch\u00e9ance nous mettra en droit d\u2019exiger le recouvrement imm\u00e9diat de toutes les factures.
      \u00c0 d\u00e9faut de paiement de la facture \u00e0 la date due, des int\u00e9r\u00eats commenceront \u00e0 courir de plein droit sans pr\u00e9avis officiel\u00a0dus par le d\u00e9biteur \u00e0 raison d\u2019un pour cent et demi par mois. En outre, nous nous r\u00e9servons le droit de rompre de plein droit l\u2019int\u00e9gralit\u00e9 de la vente\u00a0en cas de non-paiement d\u2019une livraison partielle. En cas de non-paiement \u00e0 date due suite \u00e0 une n\u00e9gligence ou une malveillance, la somme due sera\u00a0major\u00e9e de plein droit de 20 %, augment\u00e9e de tous les frais au titre de sanction p\u00e9nale conventionnelle, sans obligation de pr\u00e9avis formel\u00a0(art. 1147 and 1132 du Code civil). De surcro\u00eet, la Loi du 2 ao\u00fbt 2002 mise en ?uvre pour emp\u00eacher tout retard dans le paiement de transactions\u00a0d\u2019affaires sera pleinement applicable aux factures impay\u00e9es, plus particuli\u00e8rement en ce qui concerne le mode de paiement (si une d\u00e9rogation \u00e0 la\u00a0l\u00e9gislation g\u00e9n\u00e9rale relative au paiement au comptant a \u00e9t\u00e9 convenue), les int\u00e9r\u00eats d\u2019arri\u00e9r\u00e9s (taux d\u2019int\u00e9r\u00eat de r\u00e9f\u00e9rence major\u00e9 de 7 points\u00a0de pourcentage et arrondi au demi-point de pourcentage sup\u00e9rieur) et les dommages et int\u00e9r\u00eats pour les frais de recouvrement.<\/li>
    12. L\u2019acceptation par l\u2019acheteur d\u2019une caution ou la remise par l\u2019acheteur, \u00e0 titre de paiement, d\u2019une caution ou d\u2019un ch\u00e8que \u00e0 des parties\u00a0tierces, n\u2019implique pas de novation. Si plusieurs lettres de change ont \u00e9t\u00e9 accept\u00e9es au titre du paiement d\u2019une dette, le non-paiement d\u2019une lettre de\u00a0change \u00e0 date due entra\u00eenera l\u2019expiration du terme de toutes les lettres et l\u2019exigibilit\u00e9 imm\u00e9diate de l\u2019int\u00e9gralit\u00e9 de la dette, nous donnant le droit\u00a0de cesser toutes les livraisons.<\/li>
    13. Toutes les marchandises sont vendues avec r\u00e9servation sur titre, jusqu\u2019au paiement int\u00e9gral de la facture. L\u2019acheteur reconna\u00eet de la sorte que\u00a0les marchandises demeurent la propri\u00e9t\u00e9 int\u00e9grale de Royal Botania jusqu\u2019au paiement int\u00e9gral de la facture. \u00c0 partir du premier jour de\u00a0livraison, l\u2019acheteur est responsable du bon \u00e9tat des marchandises. La vente sera rompue de plein droit en cas de non-paiement \u00e0 la date due.\u00a0Les marchandises doivent \u00eatre retourn\u00e9es dans les 48 heures et toutes les avances seront r\u00e9cup\u00e9r\u00e9es \u00e0 titre d\u2019indemnit\u00e9s.<\/li>
    14. Nos agents et repr\u00e9sentants ne sont pas autoris\u00e9s \u00e0 recouvrer nos factures, sauf avec notre consentement express.<\/li>
    15. Le paiement entre leurs mains ne dispense pas le client. Toute promesse et tout engagement pris par ce dernier n\u2019est pas contraignant pour notre\u00a0soci\u00e9t\u00e9, sauf si nous l\u2019avons confirm\u00e9.<\/li>
    16. Tous les contrats sont conclus aux conditions susmentionn\u00e9es, aucune condition d\u2019achat formul\u00e9e par nos clients ne sera accept\u00e9e.<\/li>
    17. Notre consentement \u00e9crit est requis pour toute publicit\u00e9 de nos mod\u00e8les dans des magazines, quotidiens, hebdomadaires, etc.<\/li>
    18. Tous les litiges et contestations, quel qu\u2019en soit l\u2019objet, sont de la comp\u00e9tence exclusive des tribunaux Marbella.<\/li>

      ALGEMENE VERKOOPSVOORWAARDEN<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

        \n
      1. De huidige algemene verkoopsvoorwaarden zijn van toepassing op alle verkopen, ongeacht de manier waarop de bestelling geplaatst werd.<\/li>\n
      2. Iedere ontvangen bestelling moet het voorwerp zijn van een ontvangstbevestiging van ons bedrijf.<\/li>\n
      3. Geen enkele afwijking aan een bestaand model kan toegestaan worden.<\/li>\n
      4. Onbehouwen kwasten en kleine barsten vormen, ook na afwerking, de typische kenmerken van de natuurlijkheid van hout.<\/li>\n
      5. Wij behouden ons het recht om prijzen en modellen te wijzigen. Onze prijslijsten en catalogen vervangen en annuleren steeds alle voorgaande. Modellen die er niet meer in voorkomen, worden niet meer geproduceerd. Wij behouden ons het recht voor om eventuele veranderingen in vorm, afmetingen en uitvoering aan te passen om de kwaliteit van onze producten te garanderen.<\/li>\n
      6. De eventueel vermelde levertijden zijn niet bindend, enkel informatief. De koper ziet uitdrukkelijk af van elke weigering der goederen, alsook elke aanspraak op schadevergoeding wegens eventuele vertraging bij de levering.<\/li>\n
      7. Goederen zelfs franco verzonden, reizen op risico van de koper.<\/li>\n
      8. Wij behouden ons het recht voor de goederen aan te rekenen naarmate hun levering, zelfs indien de levering slechts gedeeltelijk is.<\/li>\n
      9. WAARBORG EN AANSPRAKELIJKHEID: Alle klachten kunnen enkel in aanmerking komen wanneer zij geschieden binnen de 8 dagen na ontvangst van de goederen. Een klacht schort de betalingsverplichting niet op. De aansprakelijkheid van de verkoper zal in geen geval verder gaan dan de verplichting om op eigen kosten de foutieve stukken, franco teruggestuurd naar zijn fabriek, te herstellen of te vervangen.<\/li>\n
      10. Uitvoeringen van bestellingen mogen eventueel gestaakt worden wanneer vorige leveringen na de vervaldag nog niet betaald werden.<\/li>\n
      11. Betalingsvoorwaarden: netto contant bij levering. Alle inningskosten zijn voor rekening van de koper. Deze facturen zijn betaalbaar te Marbella volgens de voorwaarden die erop vermeld staan. Het niet nakomen van een vervaldag zal ons toelaten onmiddellijk alle rekeningen invorderbaar te maken. Bij gebrek aan betaling van de factuur op haar vervaldag, zal de debiteur van rechtswege en zonder aanmaning een intrest verschuldigd zijn van 1,50% per aangevangen maand. Verder behouden wij ons het recht voor de gehele verkoop van rechtswege te verbreken bij niet-betaling van een gedeeltelijke levering. In geval van niet-betaling op de vervaldag ten gevolge van nalatigheid of slechte wil, zal het verschuldigde bedrag van rechtswege verhoogd worden met 20% onverminderde kosten, ten titel van conventioneel strafbeding, zonder dat ingebrekestelling vereist is (art. 1147 en 1132 B.W.). Bovendien zal op elke onbetaald gebleven factuur integraal de wet van 2 augustus 2002 betreffende de bestrijding van de betalingsachterstand bij handelstransacties van toepassing zijn, meer bepaald met betrekking tot de betalingstermijn (ingeval een afwijking op de algemene regeling van contante betaling werd afgesproken), de nalatigheidsintrest (referentie intrestvoet vermeerderd met 7 procentpunten en afgerond tot het hogere halve procentpunt) en de schadeloosstelling voor de invorderingskosten.<\/li>\n
      12. De acceptatie door de koper van een effect of de overhandiging, ten titel van betaling van een effect of een cheque op derden, brengt geen schuldvernieuwing mede. Indien verschillende wissels aanvaard werden ter betaling van een schuldvordering, brengt de niet-betaling van \u00e9\u00e9n wissel op zijn vervaldag het verval mede van de termijn voor de andere wissels en wordt de volledige schuldvordering onmiddellijk eisbaar en geeft ons het recht alle verdere leveringen te staken.<\/li>\n
      13. Alle goederen worden verkocht met eigendomsvoorbehoud en dit tot algehele vereffening der factuur. Hierdoor erkent de koper dat de goederen volledig eigendom blijven van Royal Botania NV tot de volledige betaling van de faktuur is gebeurd. Vanaf de dag der levering is de koper verantwoordelijk voor de goede staat der goederen. De verkoop is van rechtswege verbroken in geval van niet-betaling op de vervaldag. De goederen dienen binnen de 48 uur teruggegeven te worden en de betaalde voorschotten zijn ten titel van schadevergoeding verbeurd verklaard.<\/li>\n
      14. Onze agenten en vertegenwoordigers zijn niet bevoegd onze facturen te innen, tenzij met onze uitdrukkelijke toestemming. Betaling in hun handen ontlast de klant niet. Beloften of toezeggingen door deze laatsten gedaan, binden ons niet, tenzij ze door ons bevestigd werden.<\/li>\n
      15. Alle contracten worden afgesloten op bovenstaande voorwaarden, koopcondities van afnemers worden niet erkend.<\/li>\n
      16. Onze schriftelijke toelating is noodzakelijk voor het voeren van publiciteit met onze modellen in tijdschriften, dag- en weekbladen, enz.<\/li>\n
      17.
